Most of the grouches are saying something like: “$1.1 billion? for a company that only had $13 million in revenues last year? Ha ha ha.”

But the key part of the Yahoo conference call this morning was when CFO Ken Goldman said Alibaba had redeemed Yahoo!’s preferred shares recently.

Most Yahoo! investors – let alone the casual public – knew that Yahoo! was holding $838 million worth of preferred shares in Alibaba Group since last September when they loaned the money to Alibaba to help them buyback the first tranche of Yahoo!’s stake in Alibaba Group getting Alibaba on a path to an IPO that should come in the second half of this year.

These pref shares have now been paid back to Yahoo! from Alibaba, per Goldman’s comments this morning. That’s in addition to the $5.6 billion in cash Yahoo! already had on its balance sheet.

I would argue that Yahoo!’s cash is being valued at zero today by Yahoo! investors — just like Apple AAPL +2.63%‘s (AAPL) cash is. But the pref shares were basically being ignored. It was an invisible asset. [Some via Twitter have disputed this assertion, telling me these Alibaba pref shares were well known on the Street. I disagree. I haven't seen anyone make mention today of the pref share redemption.]

So, in the last few weeks, Yahoo! got an additional $838 million in cash (post taxes since it was a loan) which investors weren’t even valuing to begin with. Now it’s used that cash, plus an addition $262 million of its own cash to buy Tumblr.

I would say paying a net cash amount $262 million for owning Tumblr is a fabulous deal.

Yahoo! now has 300 million Tumblr users – many of them on mobile – with 138 million uniques. They’re on track to do $100 million in revenues this year. With Yahoo!’s help, in 2014, isn’t reasonable to expect they can do $500 million?

And they’ll keep growing from there.

Tumblr is growing like a weed. Whether you use it or not, it matters.

YouTube looked expensive to hard-nosed critics back in 2005 who thought it was folly for Google GOOG +0% (GOOG) to spend $1.6 billion on a property that was expensive to run and generating no revenue.

Today, YouTube is on track to generate $4 billion in revenues this year and $800 million in operating income.

Instagram, YouTube, Twitter, and Pinterest are not – repeat NOT – GeoCities.

In my view, Yahoo! bought Tumblr at a good price for “net cash” of $262 million.

[Of course, Yahoo! wrote a check for $1.1 billion for Tumblr. Some are angry that I'm trying to suggest it was less. Of course, they wrote that big check. Others might argue they could have used that $1.1 billion better to do a special dividend, buy back more shares, on another acquisition, or simply keeping it. From my perspective, I like this use of the cash -- especially given, in my opinion, Yahoo wasn't getting much credit for its existing $5.6 billion in cash, let alone the additional $838 million from the pref shares.]

And even that is just because they pop up in google when you make a search that reads like a question.

For sure! No one wants to be associated with naked ladies unless they are paying them in a hotel room.

I would say that after the deal, either one of two things happened: 1) their advertisers said, "and we're done" or 2) they looked closer at what they bought once it was delivered and said, "oh good god, that's a lot of depraved people out there"

And as a sidenote, their line is "We want to make sure people don't have to see what they don't want to." Something that sweeping and broad is stupid, because pretty much anyone with even a modicum of internet-sensibility would know that if that were true, there could be an 'opt-in' for nsfw/adult. Does the person claim to be over the age of majority? Then enable a button that says 'I wish to be able to view and search NSFW blogs and tags' and 'I wish to be able to view and search for Adult blogs and tags'.


We'll see if competition shows up. Could be interesting.

Let's all pool our money and buy Tumblr when Yahoo eventually sells it because they've ruined it. Just return it to normal, bring back the porn, put up some ads, profit.

Fucking Yahoo doesn't know how to do business anymore. Buy shit that works, monetize it and call it a day. And who wants family friendly anything anymore? Have you been on the fucking Internet lately? This place is international waters.
