hold on, before i checkout on this, if i opt for the CD version by paying an extra $13, will I sitll get a download link? or will I have to wait a few days for them to mail me my CD.
otherwise, i can just not opt for the CD, get the dl link and just burn windows onto a CD.

You get the download link and key after you complete your order, irregardless of purchasing the CD or not.

okay, reading all the diff stories got me confused a bit, just wanna get things straight before i buy this
so, currently im running 32 bit Vista home premium on my laptop, 3G RAM, Intel Core 2 Duo T5550 @ 1.83GHz
I would like to upgrade to 64 bit Win7 so that means i'd need to do the clean install once i get the download or disc or whatever right?

You will need to buy the disc. You can download it, but you will not be able to unbox the downloaded files, so you can't do jack.
At least that is latest that I have read. Digital River is getting users who had 32bit and bought the 64 thinking they could just download it, to call them. I figure they just give out refunds or make them pay for the disc.
I have XP and was planning on installing 64bit Win7. Waiting for my disc to arrive...

so how exactly does the upgrade work? does it have to detect a previous version of windows on my computer?

If you care about your programs and settings, do an upgrade.
If you dont care about your programs and settings, do a custom install.
You will be prompted with an option to save ALL your files into a file called windows.old
This includes EVERYTHING in the C://, which also contains your Documents etc.

do i need to provide them with a legitimate activation key from a previous version of windows too?

I read on some forum that if you do a clean install without having a previous version of Windows, it WILL install, but it will not accept your upgrade product key.

Question about this win7. Is the OEM or retail version? i've heard that the OEM version locks to ur mobo and you cannot install it on another computer after (ie. if you upgrade mobo it doesn't work)

Not sure what happens if your mobo gets struck by lighting and you get a new mobo, i'm guessing if you call microsoft under those circumstances they'll reactivate the serial for you.
